Memoket AI Membership & Subscription Terms

1. Agreement to These Membership Terms

These Memoket AI Membership & Subscription Terms (the "Membership Terms") govern the purchase, renewal, cancellation, expiration, and use of paid Memoket software memberships, subscriptions, AI model access, transcription minutes, usage quotas, and related paid or included digital entitlements (collectively, "Memberships") offered by Memoket Inc. ("Memoket," "we," "us," or "our").

These Membership Terms apply in addition to Memoket's Terms of Service, Privacy Policy, Refund Policy, and any purchase-channel terms that apply to your transaction. If these Membership Terms conflict with Memoket's general Terms of Service only with respect to Membership billing or paid Membership benefits, these Membership Terms control for that issue.

By purchasing, activating, renewing, upgrading, downgrading, or using a Membership, you agree to these Membership Terms.

2. Memoket Memberships

Memoket Memberships provide access to software features and service entitlements for the Memoket Gem and related Memoket applications, including transcription, AI summaries, AI chat or search, cloud sync, integrations, sharing/export, memory, privacy and security features, and other features Memoket may identify from time to time.

The standard Membership tiers differ only by transcription-minute allowance and available Ask Memochat model access. Detailed model access for each tier is described on Memoket's official website or in the applicable purchase flow. All other standard Membership features are available across the current tiers unless Memoket expressly states otherwise in the applicable purchase flow or written offer terms.

MCP access is available for all current Membership tiers.

A Memoket hardware purchase and a Memoket software Membership are separate unless a purchase page, order confirmation, activation code, or promotion expressly states otherwise. The Starter plan is free and included with every Gem. Purchases are governed by Memoket's Refund Policy and are intended for personal or household use and not for commercial resale or export unless Memoket agrees otherwise in writing.

Memoket provides the following launch purchaser benefits: Early Birds receive one year of Unlimited Membership, and pre-order users receive one year of Pro Membership.

3. Membership Tiers and Billing Options

Memoket offers three standard Membership tiers: Starter, Pro, and Unlimited. Paid Membership users may select monthly billing or annual billing where both options are offered. Annual Membership fees are prepaid for the applicable annual billing period. Monthly equivalent prices for annual billing are provided for comparison, and the final amount charged is determined by the applicable purchase flow.

The only standard differences among the current tiers are transcription-minute allowance and available Ask Memochat model access. Detailed model access for each tier is described on Memoket's official website or in the applicable purchase flow. All other standard Membership features, including MCP access and Proactive AI Insights, are available across the current tiers unless Memoket expressly states otherwise in the applicable purchase flow or written offer terms.

Membership prices shown to users may vary by country, region, currency, tax treatment, purchase channel, app store localization, promotion, and payment platform. Monthly and annual Membership fees are inclusive of applicable taxes where the relevant purchase channel displays prices on a tax-inclusive basis. The final price displayed at checkout controls the transaction.

Unless Memoket expressly states otherwise, Membership benefits are for the subscribed account only and may not be transferred, resold, shared outside the permitted account or workspace, or exchanged for cash.

4. User Category Benefits

The following user-category benefits apply in addition to the standard Membership tiers where the user qualifies for the applicable category. Category eligibility, benefit duration, and benefit application are determined by Memoket's purchase records, account records, order confirmation, beta records, activation-code records, device-binding records, and any specific launch or beta communications issued by Memoket.

For App-only users, the October 8 deadline means October 8, 2026 at 11:59 PM Pacific Time.

5. Features Available Across Tiers

All current tiers include multi-language transcription and summaries, customizable summary templates, sharing and export of notes/transcripts/summaries, Ask AI across conversations, support for 153 languages, Memoket desktop beta, action-item sync to Google Calendar, Outlook, and Apple Reminders, privacy-first data protection, Slack and Notion workflows, email sharing, connected memories with full context, AI chat with recordings, MCP access, and Proactive AI Insights.

6. Transcription Minutes and Model Access

The current Membership tiers differ by monthly transcription minutes and Ask Memochat model access.

Transcription-minute entitlements are measured according to Memoket's then-current usage measurement rules. Usage may be counted when audio is uploaded, when transcription begins, or when another paid transcription service is consumed, depending on the feature.

Monthly transcription-minute limits are 300 minutes for Starter, 1,500 minutes for Pro, and unlimited transcription up to 24 hours per day for Unlimited.

Ask Memochat model access differs by Membership tier. Detailed model access, including model names and availability, is described on Memoket's official website or in the applicable purchase flow. Model names and availability may change as providers update, retire, rename, restrict, or replace models. Memoket may update model availability from time to time while preserving the applicable tier structure.

7. Unused Minutes and Usage Limits

Unused transcription minutes do not roll over to the next billing period and expire at the end of the applicable billing period. Entitlements included in a trial, promotion, activation code, or bundled device benefit may expire earlier according to the terms of that offer.

Memoket currently does not offer separate transcription-minute top-up packages. If your usage exceeds included entitlements, Memoket may require you to purchase a higher plan, wait until the next billing period, or accept reduced or limited functionality.

8. Billing Cycle and Automatic Renewal

Memberships may be offered on a monthly, annual, trial, promotional, prepaid, usage-based, or other billing basis. The applicable billing period, price, renewal date, and taxes or fees will be shown at purchase or in your account billing settings.

Standalone Pro and Unlimited memberships purchased through Memoket's Shopify-powered website checkout are one-time purchases for 1 month or 12 months of access. They do not automatically renew or create future recurring charges. To obtain another paid access period, you must actively make a new purchase. Recurring Memberships purchased through Apple App Store, Google Play, or another expressly identified recurring purchase flow renew according to the terms shown by that purchase channel. By purchasing a recurring Membership, you authorize Memoket or the applicable payment platform to charge the payment method on file for recurring fees, applicable taxes, and any other amounts due.

Membership purchases may be made through Apple App Store, Google Play, or Memoket's Shopify-powered online store, depending on the user's installation source, region, account status, and purchase flow. iOS users may purchase through Apple App Store; users who install through Google Play may purchase through Google Play; and users who install through manual APK distribution or other supported channels may purchase through Memoket's Shopify-powered purchase flow.

For website or Shopify purchases, Shopify collects and processes order and payment information, and Memoket does not store full payment card numbers. Apple, Google, Shopify, the applicable payment processor, or any other purchase channel may process billing, renewal, cancellation, refunds, taxes, invoices, and payment-method updates according to its own terms and policies.

The in-app Membership purchase page displays or links these Membership Terms before purchase. Memoket may add these Membership Terms to additional purchase or account pages as its purchase flows expand.

9. Trials, Promotions, Activation Codes, and Bundled Benefits

Memoket may offer free trials, discounted Memberships, activation codes, device-bundled benefits, referral rewards, early-bird offers, beta benefits, or other promotions. Promotional benefits are subject to the stated terms of the promotion and may be limited by account, device, household, organization, region, time period, purchase channel, or other eligibility criteria.

For current launch and beta benefits, beta users receive six months of Unlimited Membership starting from the date the user's eligible hardware is bound to the user's account. Early Birds receive one year of Unlimited Membership, and pre-order users receive one year of Pro Membership. These included Membership periods are promotional or bundled benefits associated with the applicable user or purchase category and are not separately redeemable for cash.

Unless Memoket states otherwise, promotions cannot be combined, transferred, redeemed for cash, extended after expiration, or applied retroactively to prior purchases. Activation-code benefits and device-bundled benefits may be redeemed only by the eligible account, device, activation code, or purchase record designated by Memoket. If activation fails, an activation code is lost, the device is resold, or a second-hand purchaser cannot redeem the benefit, the user should contact Memoket support for assistance; Memoket does not guarantee that such benefit can be reissued, transferred, or redeemed by a second-hand purchaser. Memoket may modify or end promotions in accordance with applicable law.

Included membership benefits are handled according to the original offer terms and the records for that benefit. We will confirm any applicable expiry or device-eligibility conditions when handling your hardware return. Later policy changes will not be applied retroactively to withdraw previously promised or granted membership benefits. Returning hardware does not by itself cancel a separately purchased membership.

For standalone Pro and Unlimited memberships purchased through Memoket's Shopify-powered website checkout, the selected 1-month or 12-month access period begins when redemption succeeds in the Memoket App using the purchase email address and order number. Purchase or payment confirmation alone does not start that access period. Other purchased Membership benefits become effective after successful purchase confirmation unless the applicable purchase channel states otherwise. Device-bundled or gifted benefits begin when the eligible device is bound to the user's account, or when the applicable activation code is redeemed, if an activation code is used. Beta users' six-month Unlimited benefit begins when the user's eligible hardware is bound to the user's account.

If a user has an unused device-bundled or gifted Membership benefit and separately purchases a paid Membership for the same account, the purchased Membership benefit takes effect first. The device-bundled or gifted benefit may be paused during the purchased Membership period and may resume after the purchased Membership expires, according to Memoket's benefit-application records. Time-limited App-only or deadline-based benefits, including the October 8 App-only deadline treatment, do not pause or extend because of a separate paid Membership purchase unless Memoket expressly states otherwise.

If a trial converts into a paid Membership, the purchase flow will identify the price, billing period, renewal terms, and cancellation process before you are charged, to the extent required by applicable law or platform rules.

Unless Memoket expressly states otherwise in the applicable offer terms or purchase flow, included beta, Early Bird, and pre-order Membership benefits do not automatically convert into a paid recurring Membership. At the end of the included benefit period, the account will move to the then-available eligible plan, such as Starter, unless the user affirmatively purchases a paid Membership.

10. Payment Authorization and Taxes

You agree to provide current, complete, and accurate billing and payment information. You represent that you are authorized to use the payment method you provide and authorize recurring and one-time charges associated with your Membership.

Membership fees are inclusive of taxes where the applicable purchase channel displays prices on a tax-inclusive basis, unless that purchase channel states otherwise. You are responsible for applicable taxes, duties, levies, currency conversion fees, bank charges, and payment-platform fees, except for taxes based on Memoket's net income.

If a payment is declined, reversed, disputed, expired, or otherwise cannot be processed, Memoket may provide a 3-day grace period during which the user retains paid Membership benefits. If payment is not successfully completed by the end of the grace period, Memoket may downgrade the account to Starter or otherwise suspend, restrict, or terminate paid Membership access, subject to applicable law and platform rules.

For Apple App Store and Google Play purchases, payment-retry attempts, retry timing, and platform notices are managed by the applicable app store. Memoket does not promise a fixed retry schedule for those platforms, and Memoket relies on the subscription status and grace-period end time returned by the applicable platform.

11. Upgrades

If you upgrade to a higher Membership plan, the upgrade takes effect immediately after the upgrade is accepted and payment is successfully processed, unless the applicable purchase channel states otherwise.

For upgrades, Memoket or the applicable payment platform may credit or refund the unused portion of the current subscription period and charge the upgraded plan fee according to the upgrade flow, platform rules, and applicable law.

New or increased transcription-minute and model-access benefits become available when the upgrade becomes effective, unless the upgrade flow states a different effective date.

12. Downgrades

If you downgrade to a lower Membership plan, the downgrade takes effect at the start of the next subscription period unless the purchase flow or platform terms state otherwise. You will generally retain current paid benefits until the downgrade becomes effective.

After a downgrade, transcription minutes and available Ask Memochat models may be reduced according to the lower plan. Other core listed features, including MCP access, should remain available across tiers unless Memoket expressly updates the Membership page or purchase flow.

13. Cancellation

The one-time Pro and Unlimited website plans described above have no recurring payment to cancel. Website purchase cancellations and refund requests follow the Purchase Options Cancellation Policy and Return and Refund Policy. You may cancel a recurring Membership at any time through the cancellation method made available for your purchase channel. For Apple App Store and Google Play purchases, use the relevant platform subscription settings or the corresponding cancellation flow linked from the Memoket App. For any other expressly identified recurring purchase flow, follow that channel's cancellation instructions.

Cancellation stops future renewal charges but does not automatically refund fees already paid. Unless Memoket or the applicable purchase channel states otherwise, cancellation does not immediately revoke current-period Membership benefits; the user generally retains benefits until the effective cancellation date returned by the applicable platform or Memoket cancellation system.

Deleting the Memoket app, turning off the Memoket device, deleting recordings, or deleting your account may not cancel a recurring Membership purchased through a third-party platform. You are responsible for cancelling through the correct purchase channel.

14. Refunds

For standalone Pro and Unlimited memberships purchased through Memoket's Shopify-powered website checkout, a plan that has not been redeemed in the App may be cancelled for a full refund. After successful redemption, you may request a prorated refund for the remaining paid access period; requests are reviewed against your purchase and redemption records. The hardware 30-day return conditions do not set these digital membership refund conditions. For other purchase channels, Membership fees are non-refundable except where required by law, stated in the applicable platform or purchase-flow terms or Memoket's Refund Policy, or approved by Memoket in its discretion.

For purchases made through Apple App Store or Google Play, refund requests follow Apple or Google's applicable platform refund rules and may need to be submitted directly to the relevant platform. For one-time website membership cancellations or refunds, email cs@memoket.ai with your purchase email address and order number. A hardware return and a separately purchased Membership refund are separate requests under Memoket's Return and Refund Policy.

For one-time website membership refunds, you may request a prorated refund for the remaining paid access period. We assess that period as of the time Memoket receives your first complete, verifiable refund request, including your purchase email address, order number, and request to cancel the purchased membership. Our review or processing time will not reduce the refundable period established at that time. Any prorated refund is based on the amount actually paid for that membership, after discounts, and the remaining share of the original paid access period. We review your purchase and redemption records. Unused transcription minutes alone do not determine the refundable amount. Other refunds, credits, and proration follow the applicable purchase-channel terms and applicable law.

For those one-time website memberships, submitting a refund request does not by itself suspend your purchased membership. It remains available during review under its existing terms and expiry. If your request is approved, the refunded paid membership ends as the refund is processed; we will confirm the termination arrangements with you. Additional use during review or processing does not reduce the refund amount established at the request cutoff. If your request is declined, submitting it does not change your existing membership. Other valid purchased or included benefits continue according to their own terms and eligibility.

15. Expiration, Non-Renewal, and Starter Access

If a Membership expires, is cancelled, fails to renew, or is otherwise terminated, your account may be moved to Starter if available. Features and entitlements tied to the paid Membership may stop or become limited at the end of the paid period or earlier if required by platform rules or law.

After a Membership expires, users may continue to access existing recordings, transcripts, summaries, exports, and AI chat, subject to Memoket's Terms of Service, Privacy Policy, technical availability, and any applicable free-tier limits. Users may also continue to create new recordings, but paid transcription minutes, higher-tier model access, and other paid entitlements may be limited or unavailable unless the user has an active paid or included Membership benefit.

For beta users, the included Unlimited Membership benefit expires after the applicable six-month benefit period unless Memoket expressly extends it or the user purchases a paid Membership. For Early Birds and pre-order users, the included one-year Membership benefit expires after the applicable one-year benefit period unless Memoket expressly extends it or the user purchases a paid Membership. Unless the applicable purchase flow or offer terms state otherwise, expiration of an included beta, Early Bird, or pre-order benefit does not create an automatic paid renewal.

16. Changes to Plans, Prices, and Benefits

Memoket may change Membership plans, prices, benefits, quotas, model availability, billing methods, renewal terms, or usage limits from time to time. If required by law or platform rules, Memoket will provide notice before changes take effect.

Price changes generally apply at the next renewal unless the purchase flow, applicable law, or platform rules state otherwise. If you do not agree to a change, you may cancel before the change takes effect.

Memoket may add, modify, suspend, or discontinue features as described in the Terms of Service. Changes will not affect accrued rights that cannot be changed under applicable law.

17. Relationship to Privacy and User Content

Memoket processes recordings, transcripts, summaries, payment-related information, and account information as described in Memoket's Privacy Policy. Membership purchase information may be processed by Memoket's payment, app-store, and commerce providers. For purchases through Memoket's online store, Shopify collects shipping, billing, and payment details, and Memoket does not store full payment card numbers.

Memoket does not sell conversation content and does not use recordings, transcripts, or summaries to train, optimize, or develop Memoket's or third parties' AI models without explicit, informed prior consent, as described in Memoket's Privacy Policy.

18. Abuse, Fair Use, and Service Protection

Memoket may suspend, limit, or terminate Membership access if it reasonably believes an account is being used fraudulently, abusively, unlawfully, in violation of Memoket's Terms of Service, or in a way that harms service reliability, security, or other users.

The Unlimited plan is subject to the published usage limit of unlimited transcription up to 24 hours per day. Plans described as unlimited may still be subject to reasonable fair-use, anti-abuse, technical, security, or availability limits unless Memoket expressly states otherwise.

20. Changes to These Membership Terms

Memoket may update these Membership Terms from time to time. Updates will be posted or otherwise made available, and the last-updated date will be revised. If changes materially affect recurring Membership billing or paid entitlements, Memoket will provide notice where required by law or platform rules.
